- managing contracting, litigation, claims and insurance activities, with specific focus on transport, logistics, commercial agreements, disputes, liability assessment, recovery, defence and settlement matters.
- supporting the company’s health & safety, compliance and regulatory framework, including obligations under Italian Legislative Decree no. 81/2008, Legislative Decree no. 231/2001, privacy, ADR, HACCP, audits, licences, authorisations and TAPA certification/licence renewal.
- supporting corporate governance and corporate secretarial activities, including corporate minutes, statutory books, corporate filings, powers of attorney, notarial formalities and interactions with the Italian Companies’ Register and Chamber of Commerce.
In this role, you will:
- Draft, review and negotiate commercial agreements in Italian and English with national and international counterparties, including transport, traction, service, outsourcing, real estate, vehicle rental, insurance, HR, terms and conditions and intra-group service agreements.
- Support the legal management of customers, suppliers, carriers, subcontractors and service providers, with particular focus on liability allocation, indemnities, penalties, service levels, subcontracting structures, insurance coverage, contractual risks and internal approval processes.
- Manage judicial and out-of-court disputes, including ordinary litigation, interim proceedings, settlements, payment order proceedings, insolvency claims, national and international debt recovery and pre-litigation negotiations.
- Coordinate external counsel, internal departments and business stakeholders in the assessment of legal strategy, supporting documentation, procedural risks, settlement opportunities, recovery or defence actions, litigation portfolios, provisions, deadlines and reporting flows.
- Manage claims and insurance matters relating to damages to goods, company assets, transport liabilities, operational incidents and workplace accidents, including claim assessment, documentation, recovery, defence and settlement activities.
- Coordinate with internal departments, customers, carriers, transport suppliers, insurers, brokers, loss adjusters and external advisors to collect information, assess liability, review coverage and ensure proper handling of claim files, transport documents, contractual terms and operational records.
- Support the renewal, management and monitoring of insurance policies, including carrier liability, third-party liability, employer’s liability and policies taken out on behalf of third parties or customers.
- Support the company’s health & safety management system under Italian Legislative Decree no. 81/2008, both in relation to employees and to personnel involved in transport service contracts.
- Coordinate health & safety documentation flows with the Safety & Security and RSPP function, contractors, transport partners and external consultants, including documentation required for audits, onboarding and compliance checks.
- Support incident reporting, root-cause analysis, corrective action tracking and follow-up activities connected with health & safety events, workplace accidents or operational incidents, also contributing to the review of related contractual obligations and internal controls.
- Support legal, regulatory and compliance checks in civil, criminal, administrative, privacy, food safety/HACCP, ADR dangerous goods and Legislative Decree no. 231/2001 matters, including internal audits, tax compliance checks, forensic reviews, institutional investigations and intra-group compliance reporting.
- Support the renewal and maintenance of transport-related licences, authorisations and security certifications, including road haulage registrations, REN, EU transport licence and TAPA certification/licence renewal.
- Support the activities of the Supervisory Body under Legislative Decree no. 231/2001 and of the Whistleblowing Committee, including information flows, documentation review, case management support, reporting, confidentiality safeguards, follow-up actions and compliance monitoring.
- Manage corporate secretarial activities, including preparation, review and validation of corporate minutes, transcription into corporate books, maintenance of statutory registers, coordination of signature and approval processes, and proper archiving and traceability of corporate documentation.
- Coordinate corporate formalities with notaries, the Italian Companies’ Register and the Chamber of Commerce, including notarisation, filing, registration and updating of corporate deeds, board and shareholders’ resolutions, powers of attorney, corporate books and statutory documentation.
- Support the company’s health & safety framework, with particular reference to the obligations arising under Italian Legislative Decree no. 81/2008 and related compliance processes.
- Assist with incident reporting, documentation, root-cause analysis, corrective action tracking and follow-up activities connected with health & safety events or operational incidents.
- Coordinate the collection, review and maintenance of health & safety documentation relating to customers, suppliers, contractors and transport partners, including documentation required for audits, onboarding and compliance checks, and support the review of health & safety obligations in customer and supplier contracts.
- Experience in transport/logistics sector and related contractual frameworks.
- Knowledge of transport law, liability regimes (e.g. CMR) and insurance matters.
- Experience in claims handling and coordination with insurers/brokers.
- Familiarity with litigation management and external counsel coordination.
- Understanding of Legislative Decree 231/2001 and 81/2008 frameworks.
- Exposure to compliance topics (ADR, HACCP, privacy).
- Basic knowledge of corporate governance and secretarial activities.
- Experience with transport licences and certifications (e.g. REN, EU licence, TAPA).
- Strong contract drafting and negotiation skills in Italian and English.
- Ability to work with multiple stakeholders in complex organisations.
